1.1 Lawcadia.com is owned and operated by Lawcadia Pty Ltd (ACN 607 954 843) (“Lawcadia” “we”, “us”, “our”). It comprises our online website made available at Lawcadia.com and includes all associated websites, microsites, databases, services, software and back end systems.

1.2  Lawcadia.com is a secure, two-sided cloud-based platform that is designed to address the following core operational needs:

(b) Legal Project Management

(c) Legal Spend Management

(d) Relationship Management

(e) Business Process Improvement

(f)  Strategic Planning

1.3 This privacy policy (this “Policy”) explains how we collect, use, disclose, store and otherwise handle personal information in connection with your use and our operation of Lawcadia.com, or otherwise when you interact with us. We may change this Policy from time to time. We will publish any changes on Lawcadia.com and, where appropriate, notify you by email or within the platform. Where required by applicable law, we will obtain your consent to material changes.

This Policy applies to users located in Australia, the United States and all other jurisdictions except for the European Union and the United Kingdom, which are governed by a separate privacy policy. This Policy does not apply to any personal information that we collect or hold about our employees.

1.4 By using Lawcadia.com, every individual (“you, your”) is agreeing to this Policy.

1.5 If you do not agree to this Policy, do not follow any prompts to accept this Policy and do not access or use Lawcadia.com or interact with any other aspect of our business.

1.6 Where we provide Lawcadia.com under contract with a company, law firm or other organisation (for example, your employer) that entity controls the personal information processed through Lawcadia.com, and Lawcadia acts as a service provider or processor on its behalf. 3. What personal information do we collect about you?

We only collect personal information that is reasonably necessary to operate Lawcadia.com, deliver our services, manage our relationships, and market and promote Lawcadia.com.

(a)  if you are registered on Lawcadia.com on behalf of a corporate, government or law firm client, we collect profile information such as your name, position, contact details and certain other information that you may wish to complete using the functionality available on Lawcadia.com;

(b) if you are a partner at a law firm who wishes to submit tender responses to a company who is procuring legal services using Lawcadia.com then, in addition to your profile information, we will also collect information about your qualifications, experience and expertise;

(c) if you are intentified as lead partner for a matter on Lawcadia.com, we may collect ratings and feedback about your law firm which will attach to your Lawcadia profile in accordance with our Ratings Policy; and

(d) if you represent client engaging a law firm on a matter that is registered on Lawcadia.com, then we will collect information about your views and opinions on the performance of the law firm engaged for the matter on Lawcadia.com in accordance with our Ratings Policy.

If we are not able to collect your personal information, we may not be able to provide you with access to Lawcadia.com or our services or do business with you or the organisation with which you are connected.

3.2 Information you provide us

Any information that you provide via Lawcadia.com or our contact numbers and addresses will be collected and stored by us. For example, we collect your email and, if you provide it, other contact details when you subscribe to our email lists.

We may monitor and record calls and other electronic communications that you make to us in certain circumstances. For example, calls to us may be monitored and recorded for training and customer service purposes.

You may wish to provide us with personal information concerning certain other individuals when you use Lawcadia.com or any of our services. For example, you may want to provide us with personal information about a colleague who may work with you on a particular matter that is registered on Lawcadia.com. If you provide us with information about any other individual, you must obtain that person’s permission to give us the information and inform them of this Policy.

3.3 Account and profile information

We collect information about you when you register for an account, create or modify your profile and/or set preferences. For example, you provide your name and contact information (such as email, phone number and work address) when you register for Lawcadia.com. You also have the option of adding a display name, profile photo, job title and other details to your profile information to be displayed in our services on Lawcadia.com. We keep track of your preferences when you select settings within our services.

 3.4 Content you provide through use of Lawcadia.com and our services

We collect content that you post, send, receive and share when you use Lawcadia.com and our services. Content also includes the files and links you upload to our services.

We keep track of certain information about you when you visit and interact with any of our services on Lawcadia.com. This information includes the features you use, the links you click on, the type, size and filenames of attachments you upload to the services in Lawcadia.com. We also collect information about the teams and people you work with.

3.5 Content you provide through other websites we operate and/or manage

We use social networking services such as Twitter, Facebook and LinkedIn to communicate with the public about Lawcadia.com and our services. When you communicate with us using these services we may collect your personal information. The social networking service will also handle your personal information for its own purposes. Any links are provided for your convenience or by companies, law firms or other users of Lawcadia.com for their own purposes, and do not represent our endorsement of any linked third party website. We recommend that you check the privacy policies of such third party websites before providing them with your personal information.

3.9 Information from cookies and other tracking technologies

We use cookies and similar technologies to operate, improve and secure Lawcadia.com, to understand how users interact with our website, and to support analytics and marketing activities. Cookies are small text files that are stored in a computer system via an Internet browser. The information collected by these tools may include the IP address of the device you are using and information about sites from which that IP address has come, the pages accessed on our site and the next site visited. Cookies allow us to better understand our website users. The purpose of this recognition is to make it easier for users to utilise our website.

4.1 How we use your personal information depends in part on how you use Lawcadia.com and any preferences you have communicated to us. Below are the purposes for which we use the information we collect about you:

(a) To provide access to Lawcadia.com and our services and personalise your experience

We use information about you to provide Lawcadia.com and our services to you, including to process transactions with you, authenticate you when you log in, provide customer support, and operate and maintain Lawcadia.com.

Lawcadia.com also includes features that personalise your experience and improve your ability to collaborate effectively with other users. For example, we may use your stated job title to return search results we think are relevant to your job function. We also use information about you to connect you with other users seeking subject matter expertise. We may use your email domain to infer your affiliation with a particular organisation or industry to personalise the content and experience you receive on Lawcadia.com.

(b) To answer your enquiries and deliver customer support

You may opt-out of receiving marketing information from us by using the unsubscribe link within each email, updating your email preferences within your account settings menu, or by contacting us as provided in Section 10 below to have your contact information removed from our email subscription list or registration database.

(e) To maintain and improve Lawcadia.com and our services

We are always looking for ways to make Lawcadia.com smarter, integrated and useful to you. We use collective learnings about how people use Lawcadia.com and our services and feedback provided directly to us to conduct market research and analysis, to troubleshoot and identify trends, usage, activity patterns and areas for improvement in our services and Lawcadia.com. For this purpose, we also may use your personal information to carry out internal functions including training, market research and analysis.

We collect and analyse information on an anonymous or non-attributable basis to allow us to gain insights into the behaviour and business practices of companies, law firms and users which may be valuable to companies and the legal industry. Much of this information will help us to provide useful information and advice to companies, law firms and others of behaviours in relation to the procurement and provision of legal services.

(f) To meet our legal and regulatory obligations and protect our legitimate business interests and legal rights

Where required by law or where we believe it is necessary to protect our legal rights, interests and the interests of others, we may use information about you in connection with legal claims, compliance, regulatory, and audit functions, and disclosures in connection with the acquisition, merger or sale of a business. We also use your information to consider job applicants for current and future employment and to manage our relationships with companies, law firms and other users of Lawcadia.com.

(g) To promote safety and security

We use information about you and your use of Lawcadia.com and any other of our services to verify accounts and activity, to monitor suspicious or fraudulent activity and to identify violations of this Policy.

(h) To undertake activities for which we have obtained your consent

We use information about you where you have given us consent to do so for a purpose not listed above. For example, we may publish testimonials or featured law firm or client stories to promote Lawcadia.com, with your permission.

5. Who do we share your personal information with?

5.1  We disclose personal information to:

(a) our contractors, agents, service providers and professional advisors;

(b) other users of Lawcadia.com as permitted by the functionality of Lawcadia.com or the settings that we have made available on Lawcadia.com – including:

(i)    the names, contact details, expertise and experience of law firm partners to any companies to whom they submit a tender response;

(ii)    the names and contact details of company representatives will be disclosed to any law firm partners who are requested by that company representative to provide a proposal; and

(iii)   ratings information about law firms and partners will be disclosed to companies and other users in accordance with our Ratings Policy;

(c) such third parties as expressly permitted in our Terms and Conditions for Law Firms, if you are a law firm user, or in our Terms and Conditions for Corporate and Government Clients, if you are a company or government user;

(d) any person that you consent to us disclosing your personal information; and

(e) governmental or regulatory authorities, whether in Australia or elsewhere, having jurisdiction over us, Lawcadia.com or any of our services, or any companies, law firms or other users of Lawcadia.com or any of our services.

5.2 We may disclose personal information overseas where necessary to provide our services and will take reasonable steps to ensure appropriate protections are in place.

 6. How do we protect your personal information?

6.1 We use data hosting service provider, Amazon Web Services, in Australia and the United States to host the information we collect, and we apply administrative, technical and organisational safeguards designed to protect personal information. However, no system is impenetrable and due to the inherent nature of the Internet, we cannot guarantee that data, during transmission through the Internet or while stored on our systems, is absolutely safe.

7. Where is your personal information hosted and processed?

7.1 The Lawcadia platform to which your personal information is sent, is provided by Lawcadia and is hosted by a trusted third-party service provider in Australia.

7.2 Where personal information is accessed from or transferred to locations outside the country in which you provide it, we implement safeguards consistent with applicable laws.

8. Your personal information rights

8.1 You have certain choices available to you when it comes to your personal information. You may request access to or correction of personal information we hold about you.

8.2 You can ask for access or correction by contacting us using the details provided in section 10 below. We will verify your identity before responding to requests.

8.3 We may refuse requests where permitted and required by law and will explain our reasons.

8.4 If we make a correction and we have disclosed incorrect information about you to others, you can ask us to tell them about the correction. We will do so unless there is a valid reason why not to do so.

8.5 We may refuse access to your personal information in various circumstances, including where:

(a) providing access would have an unreasonable impact on the privacy of others;

(b) the request is frivolous or vexatious;

(c) the information relates to existing or anticipated legal proceedings and would not be accessible by the process of discovery in those proceedings;

(d) giving access would reveal our intentions in relation to negotiations with you in such a way as to prejudice those negotiations;

(e) providing access would be unlawful;

(f) denying access is required by or under any applicable law;

(g) we have reason to suspect that unlawful activity, or misconduct of a serious nature, that relates to our functions or activities has been, is being or may be engaged in and giving access would be likely to prejudice the taking of appropriate action in relation to the matter;

(h) giving access would be likely to prejudice enforcement related activities conducted by or on behalf of an enforcement body;

(i) providing access would be likely to prejudice enforcement related activities conducted by an enforcement body;

(j) giving access would reveal evaluative information generated within our organisation with a commercially sensitive decision-making process.

This section applies to individuals residing in the United States, including California residents, to the extent applicable under US privacy laws such as the California Consumer Privacy Act and California Privacy Rights Act (CCPA/CPRA).

9. Notification to end users

Where our services are made available to you through an organisation (e.g. your employer), that organisation is the administrator of our services and is responsible for the accounts and/or service sites over which it has control. Where this is the case, please direct your data privacy questions to your administrator, as your use of our services is subject to your organisation’s policies. We are not responsible for the privacy or security practices of your organisation, which may be different to this policy.
